Terms of Service

These Terms of Service ("Terms") govern your use of sitedialect.com and the SiteDialect translation service operated by GIGDATA LLC ("SiteDialect," "we," "us," or "our"). By using our service, you agree to these Terms.

1. Service Description

SiteDialect is an AI-powered website translation service. We provide a script tag that you embed on your website, enabling visitors to view your content in multiple languages. Translations are generated using artificial intelligence and cached on our servers for fast delivery.

2. User Responsibilities

• You must own or have authorization to manage the websites you register with SiteDialect.
• You are responsible for ensuring your website content complies with all applicable laws and regulations.
• You must not use the service to translate content that is illegal, defamatory, or infringes on the rights of others.
• You are responsible for maintaining the security of your account credentials.

2b. Acceptable Use Policy

You may not use SiteDialect to:

• Translate content that is illegal, harmful, defamatory, or infringing on any third-party rights.
• Resell or redistribute the translation service without prior written authorization from GIGDATA LLC.
• Use automated means to overload, scrape, or otherwise interfere with the service.
• Attempt to reverse-engineer, decompile, or disassemble the translation engine or any part of the service.
• Use the service for spam, bulk unsolicited communications, or any other abusive purpose.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

3. Pricing and Payment

SiteDialect charges $7 per language per month for each active language on your site. Payments are processed securely through Stripe.

• Monthly billing: You are billed monthly at the start of each billing cycle.
• Annual billing: Annual plans are available at a discounted rate and billed upfront.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.

3b. Failed Payments and Taxes

If a payment fails, we will attempt to charge your payment method again. If payment remains unsuccessful after 7 days, your service may be suspended until payment is resolved.

All prices are exclusive of applicable taxes, duties, or government levies, which you are responsible for paying.

4. Refund Policy

For full details, see our standalone Refund Policy. Summary:

• Monthly plans: No refunds are provided for partial months. You may cancel at any time and your service will continue through the end of the current billing period.
• Annual plans: Prorated refunds are available for the unused portion of your annual subscription if you cancel within the first 60 days. After 60 days, no refunds are issued.

5. Intellectual Property

You retain full ownership of your original website content. SiteDialect does not claim any ownership rights over your content or its translations. We retain the right to cache translated content on our servers solely for the purpose of delivering the service.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We are not liable for any downtime or service interruptions.

6b. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7. Limitation of Liability

To the maximum extent permitted by law, SiteDialect and GIGDATA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the service.

Our total liability for any claim arising from these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.

7b. Indemnification

You agree to indemnify, defend, and hold harmless GIGDATA LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the content you translate through the service.

7c. Force Majeure

Neither party shall be liable for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet outages, or failures of third-party services.

8. Translation Accuracy

Translations are generated by AI and may contain errors. SiteDialect does not guarantee the accuracy, completeness, or suitability of any translation. You are responsible for reviewing translated content if accuracy is critical for your use case.

9. Termination

• You may cancel your account at any time through your dashboard or by contacting us.
• We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay outstanding invoices.
• Upon termination, your cached translations will be deleted and the translation widget will stop functioning on your website.

10. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration administered by JAMS in Orange County, California, under its Streamlined Arbitration Rules.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Continued use of the service after changes constitutes acceptance of the new Terms.

12. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Data Processing Agreement, constitute the entire agreement between you and GIGDATA LLC regarding the Service.
